Terms and Conditions of Sale, Installation, Maintenance and Repair
These Terms have been drafted specifically for the business activities of Neutron Electrical Solutions Ltd, including electrical installations, maintenance, fire alarms, emergency lighting, access control, gate automation, CCTV, solar PV, battery storage, generators and associated engineering services.
1. Definitions
In these Terms and Conditions, 'Company' means Neutron Electrical Solutions Ltd; 'Customer' means the person or organisation placing an order; 'Services' means all installation, maintenance, repair, inspection, testing, commissioning and associated engineering services; 'Goods' means all equipment, materials and software supplied.
2. Application
These Terms apply to all quotations, orders and contracts unless expressly agreed otherwise in writing by a Director of the Company. The Customer's own terms shall not apply.
3. Quotations
Quotations remain valid for 30 days unless otherwise stated. Prices are based on information available at the time of quotation. Additional work, hidden defects or changes requested by the Customer will be treated as variations and charged accordingly.
4. Orders
No contract exists until the Company accepts the Customer's order.
5. Scope of Works
Works shall be carried out in accordance with the quotation. Any variation requested or required shall be chargeable.
6. Customer Responsibilities
The Customer shall provide safe access, utilities, permits, working space and accurate information. Unsafe sites may result in suspension of work and additional charges.
7. Hidden Defects
The Company shall not be responsible for concealed defects or non-compliant installations discovered after work commences. Rectification shall be quoted as additional work.
8. Existing Equipment
Unless specifically stated, no warranty is given regarding the compatibility or continued operation of existing equipment retained in service.
9. Removal of Existing Equipment
Unless agreed otherwise in writing before work starts, all equipment, materials, batteries, cables, fixtures, fittings and other items removed during the works immediately become the property of Neutron Electrical Solutions Ltd. The Company may remove, recycle, refurbish or dispose of such items under its registered Waste Carrier's Licence and applicable environmental legislation. Customers wishing to retain removed items must obtain prior written agreement. No reduction in contract price shall apply unless agreed in writing.
10. WEEE and Environmental Compliance
Waste electrical equipment and batteries shall be handled in accordance with applicable environmental legislation.
11. Payment
Invoices are due within 7 days unless agreed otherwise. The Company reserves the right to charge statutory interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998 and recover reasonable collection costs.
12. Retention of Title
Ownership of Goods remains with the Company until paid in full.
13. Warranty
Workmanship is warranted for 12 months unless stated otherwise. Manufacturer warranties apply according to the manufacturer's terms. Batteries and consumable items are excluded unless expressly included.
14. Software and Programming
The Company is not responsible for loss of programming, credentials or databases unless expressly agreed.
15. Delays
Delays caused by the Customer, third parties or events outside the Company's control may result in additional charges.
16. Transportation
Risk passes in accordance with the agreed delivery terms. Transit damage must be reported within seven days.
17. Limitation of Liability
The Company's liability is limited to the contract value or £100,000 whichever is higher where required by law. Indirect or consequential losses are excluded to the fullest extent permitted.
18. Force Majeure
The Company shall not be liable for delays arising from events beyond its reasonable control including shortages, supply-chain disruption, cyber incidents, industrial action or severe weather.
19. Termination
The Company may suspend or terminate work for non-payment, insolvency, unsafe conditions or material breach.
20. Confidentiality and Data Protection
Each party shall keep confidential information confidential. Personal data shall be processed in accordance with UK GDPR and the Data Protection Act 2018.
21. Disputes
Disputes shall first be addressed through good-faith negotiation before referral to an independent expert nominated by the Institution of Engineering and Technology (IET), failing which the English Courts shall have jurisdiction.
22. General
If any provision is invalid the remaining provisions continue in force. No waiver shall affect future rights.
23. Governing Law
These Terms are governed by the laws of England and Wales.
